Welcome to the MindStackLLC™ AI Platform (operated by MindStack SIA). By using our services, you agree to these terms.

If you only access our website without using the AI‑assistant services, your use is governed by our Terms of Use.

SIA (Sabiedrība ar ierobežotu atbildību) is the Latvian equivalent of a limited liability company (LLC).

1. Acceptance of Terms

By accessing and using the MindStackLLC™ AI Platform, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree with any part of these Terms, please do not use our services.

2. Description of Service

MindStackLLC™ provides an AI‑powered SaaS+PaaS platform for customizable expert agentic AI assistants, including but not limited to chat interfaces, task automation, and integration with third‑party AI models and services. We do not train our own AI models but provide access to third‑party models through adapters.

We may add, upgrade, modify, suspend, or terminate services, or adjust technology, methods, and performance as needed. If such changes may affect your rights, we will notify you via platform announcements or email. Continued use after changes indicates acceptance.

3. Age Requirement

You must be at least 16 years old to use this platform. If you are under 16, you may only use the platform with the consent of a parent or guardian. Minors under 18 should read these Terms with a legal guardian.

4. User Responsibilities

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.

5. API Keys and Security

Access to certain platform features may require API keys or other credentials. You must keep such credentials secure, prevent leakage, and not share or expose them in client‑side code. You are solely responsible for any fees, losses, or damages resulting from sharing, leaking, or unauthorized use of your credentials.

6. Platform Neutrality and Downstream Responsibility

MindStackLLC™ provides a neutral platform for building and deploying AI agents. The platform is a tool in the value chain and does not determine the intended purpose or use of agents created thereon. As the creator and operator of AI agents built using our platform, you are responsible for those agents, their outputs, and any downstream applications. You must assume corresponding legal responsibilities, establish appropriate agreements with your end users, and regulate end‑user behavior in compliance with applicable laws.

When you provide services to the public using agents built on our platform, you must inform end users about your personal information processing rules, obtain necessary consents, and respond to data‑subject rights requests. If cooperation with MindStack SIA is required, we will provide reasonable technical support within the required scope.

You agree not to use the platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the service. Prohibited activities include but are not limited to:

Your use of the Services, including providing inputs and obtaining outputs, may be subject to export control and sanctions laws. You are solely responsible for complying with all applicable export control and sanctions laws related to your and your end users' access and use of the Services. You represent and warrant that the Services will not be used in or for the benefit of, or exported, re‑exported, or transferred to any country subject to comprehensive sanctions, or to any party on restricted party lists. The Services shall not be used for any prohibited end use, and your inputs shall not include material requiring an export license.

9. Intellectual Property

All content, features, and functionality of the platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of MindStackLLC™ or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Platform logic, algorithms, system architecture, workflows, and underlying implementation details not publicly disclosed are proprietary trade secrets of MindStack SIA and are protected under applicable trade‑secret laws.

MindStackLLC™ is a trademark used by MindStack SIA.

Each party retains ownership of their intellectual property as it stood prior to using the Services. No rights are transferred or become jointly owned as a result of these Terms.

10. User Content and AI Outputs

You retain ownership of any content you submit, post, or display on or through the platform ("Inputs"). By submitting content, you grant MindStackLLC™ a worldwide, non‑exclusive, royalty‑free license to use, reproduce, modify, adapt, publish, translate, and distribute such content solely for the purpose of providing and improving the service.

Subject to applicable law and these Terms, MindStack SIA assigns to you any rights, title, and interests—if any—in the outputs generated by the platform in response to your Inputs ("Outputs"). You may apply Inputs and Outputs to a wide range of use cases, including personal use, academic research, derivative product development, and training other models, provided such use complies with these Terms and applicable laws.

Users retain ownership of AI‑generated outputs created through authorized platform use, subject to the license grants in our Terms of Service.

You are responsible for all Inputs you submit and corresponding Outputs. You represent and warrant that you have all necessary rights, licenses, and permissions for us to process your Inputs under these Terms, and that your Inputs and Outputs will not violate these Terms or any applicable laws.

11. Termination

We may suspend or terminate your account and access to the platform at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. In case of violation, we may take measures including warnings, restricting functions, suspending usage, closing accounts, prohibiting re‑registration, or deleting content. We may retain records of suspected illegal activity and report to authorities.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE MAKE NO WARRANTY, REPRESENTATION, OR CONDITION, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED TERMS OF SATISFACTORY QUALITY, FITNESS FOR PURPOSE, OR CONFORMANCE WITH DESCRIPTION. IN PARTICULAR, WE DO NOT REPRESENT OR WARRANT THAT:

Please note that MindStack SIA does not make any representations or warranties regarding any code, models, or other tools and results provided or made available in connection with MindStackLLC™ Customizable Expert Agentic AI Assistants, any associated third‑party tools, or any resulting outputs. You assume all risks associated with the use of any MindStackLLC™ Customizable Expert Agentic AI Assistants, such tools or outputs; MindStackLLC™ Customizable Expert Agentic AI Assistants or such tools are provided on an "AS IS" and "AS AVAILABLE" basis. Such risks may include, without limitation, intellectual property infringement, cyber vulnerabilities or attacks, bias, inaccuracies, errors, defects, viruses, downtime, property loss or damage, and/or personal injury. You are solely responsible for your use of any such tools or outputs (including, without limitation, the legality, appropriateness, and results thereof).

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDSTACKLLC™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GIVEN THE EXPLORATORY, EXPERIMENTAL, AND UNCERTAIN NATURE OF AI APPLICATIONS, THE TOTAL AMOUNT OF LIQUIDATED DAMAGES, COMPENSATION, AND OTHER EXPENSES PAYABLE BY MindStack SIA UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL SERVICE FEES YOU HAVE ACTUALLY PAID TO MindStack SIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

MindStack SIA IS A LIMITED LIABILITY COMPANY (SIA) UNDER LATVIAN LAW. OUR LIABILITY IS LIMITED TO THE ASSETS OF THE COMPANY, AND NO PERSONAL LIABILITY SHALL ATTACH TO ITS MEMBERS, DIRECTORS, OR EMPLOYEES.

You agree to indemnify, defend, and hold harmless MindStackLLC™, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

15. Fees, Payments, and Refunds

Paid services may require prepayment. Your balance will be consumed as you use paid services. We reserve the right to suspend services if your balance is insufficient. We may adjust fees based on business circumstances; significant changes will be notified via platform announcements or email. Continued use after adjustments indicates acceptance.

All plans are non‑refundable unless required by law. If you believe a refund is warranted, contact us with relevant proof. If approved, we may refund the remaining unspent balance after deducting necessary costs; partial refunds are not supported, and consumed amounts are non‑refundable.

You guarantee the legality of funds used for payment. We may cooperate with judicial or government authorities to take measures on your account if illegal funds are suspected.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall first be attempted to be resolved amicably through negotiation. If negotiation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of Latvia.

Your use of the service is also governed by our Privacy Policy, which can be found at our Privacy Policy. We process personal data in compliance with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.

18. Modifications to Terms
